The company secretary is an officer of the company and acts as its chief administrative officer, sharing statutory responsibilities with the directors under the Companies Act of Ghana. We have a team of well-trained and highly motivated lawyers who can act as company secretaries and company solicitors for duly registered companies in Ghana.
Our range of bespoke services includes, but is not limited to, the following:
- Incorporation of companies of various types, as well as registration of external companies, including branch offices, liaison offices, and subsidiaries.
- Provision of company secretaries and registered offices in accordance with the requirements of the Companies Act of Ghana.
- Maintenance of the company’s registers, statutory books, and official records for inspection by directors, members, and the Office of the Registrar of Companies.
- Preparation and issuance of share certificates and maintenance of accurate share capital and beneficial ownership records.
- Handling of all corporate secretarial compliance obligations imposed on companies under the Companies Act of Ghana.
- Drafting, preparation, and filing of all statutory documents required under the Companies Act of Ghana, including directors’ and shareholders’ resolutions, prescribed company forms, annual returns, and other mandatory filings.
- Arranging, attending, and recording minutes of board and shareholders’ meetings in compliance with statutory and governance requirements.
- Provision of advice on, and registration of companies with, the Ghana Investment Promotion Centre (GIPC), Ghana Free Zones Authority, and the Minerals Commission, where applicable.
- Applications for immigrant quotas, work permits, and residence permits for expatriate staff of client companies through the Ghana Investment Promotion Centre and the Ghana Immigration Service.
- Advisory services on corporate structuring, restructuring, and reorganisation.
- Conduct of company secretarial and corporate compliance due diligence.
